The process protects your personal assets, gives your business a legal identity, and takes far less time and money than most people expect. In 2026, the state filing fee is $125 and standard processing at the Florida Division of Corporations takes three to five business days.

This guide walks through every required step in the correct order, explains what Florida law actually requires under Chapter 605 of the Florida Statutes, and flags the decisions that have long-term consequences for your business.

Why Form a Florida LLC?

An LLC - Limited Liability Company - separates your personal assets from your business liabilities. Without one, you operate as a sole proprietor and every business debt, lawsuit, and contract obligation is personally yours. With an LLC, creditors can only reach the company's assets in most circumstances.

Step 2 - Designate a Florida Registered Agent

Florida law requires every LLC to maintain a registered agent with a physical street address in Florida (no P.O. boxes). The registered agent receives service of process, tax notices, and legal documents on behalf of the LLC during regular business hours.

You can serve as your own registered agent if you have a Florida address, or you can designate an individual or a commercial registered agent service. If you use a commercial service, expect to pay $50 to $150 per year.

Step 3 - File Articles of Organization with Sunbiz

The Articles of Organization is the formation document filed with the Florida Division of Corporations at Sunbiz.org. The filing fee is $125. The form requires your LLC name, principal office address, registered agent name and address, whether the LLC is member-managed or manager-managed, and the name and address of an authorized person.

Standard processing takes three to five business days. Expedited processing (same-day or next-day) is available for an additional fee. Once approved, the Division of Corporations issues a certificate of organization confirming your LLC exists as a legal entity.

Step 4 - Obtain an EIN from the IRS

Single-member LLCs with no employees can sometimes use the owner's Social Security Number, but an EIN is strongly recommended for privacy protection and easier banking. Multi-member LLCs always need an EIN.

Step 5 - Draft an Operating Agreement

Florida does not require LLCs to file an operating agreement with the state, but every LLC - including single-member LLCs - should have one. The operating agreement is the internal governing document that defines:

  • Ownership percentages and capital contributions
  • How profits and losses are allocated and distributed
  • Management authority - who can sign contracts, spend money, and make decisions
