How to File for Your Florida Business’s Reinstatement

If you don't file your Florida business's annual report by its final deadline, then Florida's Division of Corporations will Administratively Dissolve your entity. Thankfully, this is different from an actual dissolution, in that your entity will continue to exist. However, it won't be able to conduct business again until it files for Reinstatement. Here, we'll give you the instructions to file for that Reinstatement so that you can get everything back up and running as soon as possible.

Fee Schedule to Reinstate your Entity:

To file your business's Reinstatement, you will need:

  1. Your business's Document Number, which can be found by searching here: (https://search.sunbiz.org/Inquiry/CorporationSearch/ByName)

    1. The official name of your business entity
    2. Your Federal Employer Identification Number, also known as an EIN or FEIN.
    3. Filing fee payable by credit/debit card (see filing fees above) 
    4. A valid e-mail address to receive confirmation of filing and future communications.
  2. Go to Sunbiz (https://dos.myflorida.com/sunbiz/manage-business/efile/reinstatement) and enter your document number to get started with your filing online.
  3. Review and submit your filing.

Q. What is a Certificate of Status?

A: A Certificate of Status is another optional document that can be requested during your filing. It requires an additional $5.00 fee and certifies your business's status in the Florida Division of Corporations’ records.

Q. What does it mean to reinstate a Florida Entity?

A: By filing a reinstatement for your Florida business, you can restore your its active status after it has been administratively dissolved.

Q: How long will it take for my reinstatement to be visible on Sunbiz?

A: If your entity was dissolved in the past calendar year, then your reinstatement will be posted immediately upon paying by credit card. If it has been dissolved for longer than that, however, it may take 2-3 days to post, as the Division of Corporations will also need to conduct a name availability check.

Q: Can I make changes when filing to reinstate my Florida business?

A: Yes, you'll be able to:

  • Add, delete, or change the names and/or addresses of the officers, directors, managers, or authorized representatives.

    • You will only be able to change the addresses listed for general partners.
  • Change the registered agent and/or their registered office.
  • Update your business's principal office and/or mailing address.
  • Add or change the Federal Employer Identification Number (also known as a FEIN or EIN).

Q: Can I get a copy of my filed reinstatement application?

A: Yes, once it has been posted to Sunbiz, you can download an image of your reinstatement for free.
