  • Option to decide whether distributions will be pro rata or non-pro rata (partnership only)
  • Safe harbor tax allocation;
  • Voting rights for member actions based on supermajority, majority, or unanimous vote;
  • Membership Interest transfer restrictions require unanimous consent of all members or managers to transfer interest to a third party; 
  • Option to include deadlock provisions (submitting to advisory board vs. forced sale or none);
  • Requiring unanimous consent to amend the operating agreement;
  • One (1) vote per manager on eligible issues;
  • Member votes based on membership interest percentage;
  • Forbidding members from withdrawing, disassociating, or resigning;
  • Forbidding the company from expelling members;
  • Allowing members to designate when and where they meet;
  • Not requiring regular member meetings;
  • Allowing any action required or permitted to be taken at a meeting of the members to be taken without a meeting if the action is taken by all members entitled to vote on the issue;
  • Membership Interests will be adjusted from time to time to account for non-pro rata additional Capital Contributions by the Members;
